On January 30, 2025, Agence Spatiale Inc. initiated legal proceedings against Gestion immobilière Dominic Lamarre Brunette Inc., Dominic Lamarre Brunette Inc., and 9431-1305 Québec Inc. (collectively referred to as Groupe Lamarre). The action was based on an unpaid balance of $19,144.05 for architectural services rendered, which included $5,000 in extrajudicial legal fees.

In response, Groupe Lamarre did not challenge the debt on its merits but instead expressed interest in settling the dispute out of court. This led to negotiations culminating in a formal offer from Groupe Lamarre on May 28, 2025, proposing a $17,500 payment in exchange for a mutual release agreement. Agence Spatiale accepted this offer the following day.

Failure to execute the settlement

Despite the agreement, Groupe Lamarre failed to prepare or sign the required settlement documents within the agreed timeframe. Multiple follow-ups by Agence Spatiale’s counsel between June and August 2025 were left unanswered or met with delay requests. On August 6, Groupe Lamarre requested an extension, followed by a proposal on August 15 to stagger payments due to temporary financial constraints.

Agence Spatiale rejected the modified terms and instead filed an application for homologation of the settlement and a declaration of abuse on August 21, 2025. Groupe Lamarre eventually signed and returned the settlement documents on August 29, just days before the scheduled court hearing.

The court’s analysis and decision

The court considered two main issues: the enforcement of the settlement agreement and whether Groupe Lamarre’s delays constituted abuse of procedure under article 51 of the Code of Civil Procedure. In assessing the latter, the court emphasized that procedural abuse must reach a high threshold of seriousness and cannot be based on mere negligence or delay.

The court found that while Groupe Lamarre was lax in fulfilling its obligations and showed poor follow-through, there was no evidence of bad faith, malice, or deliberate obstruction. The court also took into account Groupe Lamarre’s explanations, which included their attorney's vacation schedule and liquidity issues.

As a result, the court homologated the settlement agreement dated August 26 and September 2, 2025, making it legally enforceable. However, it dismissed the claim for abuse of procedure, concluding that the defendants’ conduct did not meet the strict criteria for such a finding.

Outcome and costs

The court partially granted the plaintiff’s application by approving the settlement but rejected its demand for $4,043 in additional damages linked to procedural abuse. Court costs were awarded, though the amount was not specified.
