In the case of Stronach v. York Region dated February 22, 2023 defendants, York Region Vacant Land Condominium Corporation No. 1010 (referred to as "Adena Meadows"), and individual members of its board of directors, had requested the court to strike certain portions of the Plaintiff's claim. The claim of plaintiff, Stronach Consulting Corp filed in April 2022, had sought damages of nearly $1.5 million, including punitive/aggravated damages, related to breach of contract, breach of trust, and unjust enrichment in the context of providing water services to Adena Meadows.
The Defendants had argued that the allegations against the directors lacked merit and failed to distinguish their personal conduct from their roles as directors. They had also pointed out deficiencies in the subject pleading, including vague "inducing breach of contract" allegations and the inability to claim unjust enrichment against the directors in their personal capacities.
The Plaintiff had contended that the subject pleading met the requirements of a valid claim and had requested the opportunity to provide more details during the discovery process.
Ultimately, the court had agreed with the Defendants, finding that the allegations against the directors did not differentiate their personal conduct from their roles as directors. Therefore, they had struck these allegations without the option to amend.
