Flowers Foods, Inc. (NYSE: FLO), a major U.S. bakery products company, agreed to acquire Simple Mills, a leading natural brand known for better-for-you crackers, cookies, snack bars, and baking mixes, for US$795 million. The definitive agreement was announced on January 8, 2025. Legal counsel for the transaction included Jones Day for Flowers Foods and Ropes & Gray LLP for Simple Mills.

The acquisition closed on February 21, 2025. Simple Mills has now officially become an independent subsidiary of Flowers Foods. The deal supports Flowers' strategy to expand its portfolio in the health-conscious snacking and baking categories and strengthen its presence in the natural foods segment.

The transaction was completed following customary closing conditions and regulatory approvals.
