On April 30, 2025, Cielo Waste Solutions Corp. announced it had entered into a Settlement Agreement with Expander Energy Inc. and related parties to unwind previous transactions under their amended asset purchase agreement dated November 8, 2023. The agreement is expected to take effect on June 13, 2025, subject to closing conditions. Under the terms, between 40 million and 60 million common shares issued to the Settlement Parties will be surrendered for cancellation, representing 30% to 47% of Cielo’s issued and outstanding shares. Additionally, all agreements between Cielo and Expander, including a licensing and several service agreements, will be terminated, and Cielo will relinquish the assets it had initially acquired. Expander will withdraw its shareholder meeting requisition and agree to an 18-month standstill concerning proxy solicitation and voting activities. All legal proceedings initiated by the Settlement Parties will be dismissed. Norton Rose Fulbright Canada LLP is acting as Cielo’s legal advisor. The company also announced that its shareholder meeting, previously scheduled for June 10, 2025, will now be held on June 24, 2025, to consider the re-election of incumbent directors Ryan Jackson, Sheila Leggett, Peter MacKay, and Larry Schafran. Separately, Cielo has completed the discounted assignment of a promissory note received in connection with its earlier sale of property in Aldersyde, Alberta.
