On May 14, 2025, Brookfield Infrastructure Finance ULC announced the pricing of a public offering of $250 million aggregate principal amount of 5.598% Fixed-to-Fixed Reset Rate Subordinated Notes due 2055. The notes, denominated in Canadian dollars, are fully and unconditionally guaranteed on a subordinated basis by Brookfield Infrastructure Partners L.P., Brookfield Infrastructure L.P., Brookfield Infrastructure Holdings (Canada) Inc., Brookfield Infrastructure LLC, BIP Bermuda Holdings I Limited, and BIPC Holdings Inc. Maturing on September 1, 2055, the notes will bear interest at 5.598% annually until September 1, 2030, after which the rate resets every five years based on the Five-Year Government of Canada Yield plus 2.713%, subject to a minimum of 5.598%.
Closing is expected on May 16, 2025. Net proceeds of approximately $247.6 million will be used for general corporate purposes, including the repayment of outstanding debt. The offering is being made under an underwriting agreement involving CIBC World Markets Inc., Scotia Capital Inc., TD Securities Inc., BMO Nesbitt Burns Inc., National Bank Financial Inc., RBC Dominion Securities Inc., Citigroup Global Markets Canada Inc., SMBC Nikko Securities Canada, Ltd., Société Générale Capital Canada Inc., Desjardins Securities Inc., and iA Private Wealth Inc. Torys LLP is serving as legal counsel to the issuer, while Goodmans LLP is advising the underwriters. The notes will be issued under an indenture with Computershare Trust Company of Canada and Computershare Trust Company, N.A., acting as trustees.
