Wolseley Canada, a subsidiary of Ferguson Enterprises, acquires National Fire

On April 14, 2025, Ferguson Enterprises, Inc. (NYSE: FERG; LSE: FERG), North America’s largest distributor of fire protection systems, has acquired National Fire Equipment Ltd. and National Fire Fabrication Ltd. (collectively, “National Fire”), a market leader in fire and fabrication products based in Toronto, Ontario. The transaction value was not disclosed. MNP Corporate Finance Inc. served as exclusive financial advisor to National Fire, while Goodmans LLP acted as its legal counsel. Davies Ward Phillips & Vineberg LLP advised Wolseley Canada Inc., the Canadian subsidiary of Ferguson, which will absorb National Fire's operations.

National Fire operates seven locations across eastern and western Canada, including two fabrication facilities, serving fire protection professionals. The acquisition supports Ferguson’s Fire & Fabrication customer group strategy and expands its footprint in the Canadian market. National Fire will continue operating under its existing brand while integrating into Wolseley Canada’s infrastructure. The transaction enhances Ferguson’s fire protection and fabrication portfolio and allows National Fire to expand its product offerings to a broader customer base across Canada.

This acquisition reinforces Ferguson’s role in the $340 billion North American construction market, particularly in residential and non-residential fire protection services. While the financial terms remain confidential, the transaction underscores Ferguson’s ongoing strategy to grow its specialized distribution services throughout North America.
