On December 12, 2022, Brookfield has agreed to acquire a 49 percent ownership stake in Samhällsbyggnadsbolaget i Norden AB (SBB), a leading Nordic social infrastructure company based in Sweden. The total consideration for the transaction is SEK9.2 billion (approximately US$887 million or $1.2 billion at the time of the announcement), with potential earn-outs valued at SEK1.2 billion (approximately US$115 million or C$154 million). As part of the deal, EduCo, Brookfield’s investment platform, will enter into an asset management agreement with SBB, under which EduCo will pay SBB 1.8 percent of the net operating income annually. This partnership allows Brookfield to gain exposure to SBB’s long-term strategy of owning and managing social infrastructure and rent-regulated residential assets across the Nordic region. SBB will continue to lead its strategic initiatives and benefit from a steady income stream through the asset management agreement.
J.P. Morgan Securities PLC served as the sole financial advisor to SBB. Advokatfirman Vinge acted as legal counsel to SBB, while Linklaters provided legal advice to Brookfield. This investment aligns with Brookfield’s broader strategy of providing alternative investment products to a diverse global investor base, including pension funds, sovereign wealth funds, and financial institutions.
