On May 26, 2025, the Ontario Superior Court of Justice recognized the U.S. Chapter 11 proceedings of 23andMe Holding Co. and 23andMe, Inc. as foreign main proceedings under Part IV of the Companies’ Creditors Arrangement Act (CCAA). Based in San Francisco, 23andMe is known for pioneering direct-to-consumer genetic testing and operates one of the largest crowdsourced genetic research platforms globally, with data from over 15 million customers. Founded in 2006, the company faced mounting business challenges including slowed growth, liquidity constraints, and reputational damage from a cyberattack in October 2023 that compromised the health and ancestry data of approximately seven million users. This breach resulted in multiple class action lawsuits, including one filed in Ontario. As part of the Chapter 11 process, Matthew Kvarda of Alvarez & Marsal (A&M) was appointed foreign representative.
Legal counsel includes Osler and Paul, Weiss, Rifkind, Wharton & Garrison for 23andMe, McCarthy Tétrault for the foreign representative, and KND Complex Litigation representing class action plaintiffs. No transaction value was disclosed.
