On June 20, 2025, Enbridge Inc., a leading North American energy infrastructure company, completed a US$2.25 billion (approximately CAD$3.09 billion) offering of senior notes in four tranches under its SEC shelf registration. The issuance included: US$400 million of 4.600% Senior Notes due 2028, US$600 million of 4.900% Senior Notes due 2030, US$900 million of 5.550% Senior Notes due 2035, and an additional US$350 million of 5.950% Senior Notes due 2054. The new 2054 notes constitute a further issuance, raising the total outstanding to US$1.15 billion. All notes are fully and unconditionally guaranteed by Enbridge Energy Partners, L.P. and Spectra Energy Partners, LP.
The offering was underwritten by a syndicate led by Citigroup, J.P. Morgan, Mizuho, and Wells Fargo. Enbridge was advised by McCarthy Tétrault LLP (Canada) and Sullivan & Cromwell LLP (U.S.). The underwriters were represented by Osler, Hoskin & Harcourt LLP (Canadian counsel) and Baker Botts L.L.P. (U.S. counsel). The notes were issued under Enbridge’s Registration Statement on Form S-3 filed with the SEC on July 29, 2022. The transaction further strengthens Enbridge’s financial position and supports its long-term capital strategy.
