1317229 B.C. Ltd. ("131"), Launchit Solutions Inc., and 1001240330 Ontario Inc. (“Subco”), a wholly-owned subsidiary of 131, have entered into a business combination agreement dated June 12, 2025 pursuant to which 131 will acquire Launchit by way of a three-cornered amalgamation, which will result in the reverse takeover of 131 by Launchit. Upon completion of the proposed transaction, 131 will continue to carry on the business of Launchit.

Wildeboer Dellelce LLP is appointed as counsel for Launchit, Borden Ladner Gervais LLP is appointed as counsel for 131.
