On September 4, 2025, Brookfield Asset Management Ltd. (BAM) is offering US$750,000,000 aggregate principal amount of 6.077% notes due September 15, 2055 (approximately C$1,020,000,000). The notes are being offered at 99.998% of par, with total gross proceeds of US$749,985,000 and net proceeds to BAM, after deducting underwriting fees and estimated expenses, of approximately US$742,672,500 (C$1,010,028,600). Interest on the notes will accrue from September 9, 2025, and will be paid semi-annually on March 15 and September 15 of each year, beginning March 15, 2026. The notes are senior unsecured obligations of BAM and include provisions for redemption at BAM’s option, as well as a requirement to offer to repurchase the notes at 101% of principal plus accrued interest upon a Change of Control Triggering Event.
The offering is being made through a syndicate of underwriters led by Wells Fargo Securities, Morgan Stanley, CIBC World Markets, and SMBC Nikko as joint book-running managers, with BMO Capital Markets, BNP Paribas, Brookfield Securities, Citigroup, Mizuho, RBC Capital Markets, Scotiabank, and TD Securities as co-managers. The notes will not be listed on any securities exchange or quotation system. Legal counsel to BAM is Torys LLP (Canadian and U.S. law), while Skadden, Arps, Slate, Meagher & Flom LLP (U.S. law) and Goodmans LLP (Canadian law) are advising the underwriters. BAM intends to use the net proceeds for general corporate purposes.
