Descartes acquires GroundCloud for $184 million

Descartes Systems Group, a global leader in connecting logistics-centric businesses, has purchased GroundCloud, a leading cloud-based provider specializing in final-mile carrier solutions and road safety compliance tools. GroundCloud offers an integrated platform to help final-mile carriers manage delivery orders, routes, driver training, asset management, and operational efficiency, alongside video telematics for driving event detection and improvement of safety. Andrew Roszko, Chief Commercial Officer at Descartes, highlighted the importance of a comprehensive approach to operations, safety, and compliance, especially for subcontracted delivery service providers. Edward J. Ryan, Descartes’ CEO, emphasized their commitment to worker and community safety and sees great potential in integrating GroundCloud's safety and compliance solutions across a broader range of industries within their customer base. The acquisition details are as follows: Location: GroundCloud is based in Minneapolis, Minnesota. Transaction Value: Descartes acquired GroundCloud for an initial $184 million ($USD 138 million), paid with cash on hand. There's an additional performance-based consideration of up to $109 million ($USD 80 million), contingent on revenue targets for the first two years post-acquisition. Performance-based payments are anticipated in fiscal years 2025 and 2026.
