Valsoft to acquire Quorum Information Technologies for $60 million

On September 22, 2025, Valsoft Corporation Inc., a Montreal-based company focused on acquiring and developing vertical market software businesses, has agreed to purchase all issued and outstanding shares of Quorum Information Technologies Inc. (TSX-V: QIS) for $0.80 per share in cash. The transaction values Quorum at approximately $60 million. The acquisition will proceed through a statutory plan of arrangement under Alberta law and provides Quorum shareholders with a 14% premium over the company’s September 19, 2025, closing share price and a 12% premium over the 10-day volume-weighted average price. Quorum is a North American SaaS provider serving automotive dealerships and OEMs. The deal is subject to approval by at least two-thirds of Quorum shareholders, court approval, and other customary conditions. Officers, directors, and certain shareholders holding around 50% of Quorum’s shares have agreed to support the transaction.

TD Securities Inc. provided the fairness opinion and acted as financial advisor to Quorum, with McLeod Law LLP as legal advisor. Blake, Cassels & Graydon LLP served as legal advisor to Valsoft.

The transaction was completed on December 12, 2025.
