HGS BioScience, a leading provider of humic and fulvic acid-based products backed by Paine Schwartz Partners, has acquired NutriAg Ltd., a Toronto-based innovator in bionutritional technologies. This strategic transaction, announced in October 2025, brings together HGS BioScience’s vertically integrated manufacturing and strong U.S. market presence with NutriAg’s advanced bionutritional portfolio, Canadian distribution network, and robust research and development capabilities. The combined entity is positioned as one of the most comprehensive biostimulant and bionutritional platforms in North America, offering an expanded suite of products including humic and fulvic acids, carbohydrate chelation, amino acids, plant and seaweed extracts, and microbial technologies. The merger aims to deliver enhanced distribution across the U.S., Canada, and international markets, and to deepen the innovation pipeline with proprietary technologies such as NutriAg’s PolyAldoCarbosate® (PAC) platform and HGS’s HumiK ONE and GrowPlex brands. The acquisition is expected to provide retailers and farmers with a single trusted source for a complete product portfolio and market-leading innovation, ultimately driving yield, resilience, and profitability. Legal counsel for the transaction was provided by Akin for Paine Schwartz Partners and HGS BioScience, while Osler, Hoskin & Harcourt LLP acted as Canadian legal advisor.
