Doman Building Materials closes additional $170M offering to fund 2026 notes redemption

Doman Building Materials Group Ltd. announced that it has closed its previously announced private placement of $170 million aggregate principal amount of 7.50 percent senior unsecured notes due September 17, 2029 (the “Notes”). The company expects net proceeds of approximately $167 million from the offering, which it intends to use, together with additional funds drawn under its syndicated credit facility, to redeem all of its outstanding 5.25 percent senior unsecured notes due May 15, 2026 (the “2026 Notes”) pursuant to a previously announced redemption. The newly issued Notes have identical terms, will be fungible (following expiry of the applicable statutory hold period), and form a single series with the existing $365 million aggregate principal amount of 7.50 percent senior unsecured notes due 2029 already outstanding. Stifel, CIBC Capital Markets, and TD Securities acted as joint active bookrunners, while National Bank Capital Markets, Raymond James, RBC Capital Markets, Wells Fargo Securities, Canaccord Genuity, and Desjardins Capital Markets served as joint bookrunners on the note offering.
