Docebo Inc. has acquired all of the issued and outstanding shares of France-based 365Talents, an AI-powered skills intelligence and workforce analytics company, to enhance its AI-driven enterprise learning platform by embedding skills intelligence more directly into learning workflows and enabling automatic detection and remediation of skill gaps through targeted talent actions. Under the definitive agreement, Docebo paid approximately US$54.6 million in cash consideration, funded through a combination of cash on hand and borrowings under its existing credit facility (approximately C$75.5 million, based on an exchange rate of US$1 = C$1.382 on January 20, 2026), and agreed to pay up to an additional US$5.1 million (approximately C$7.0 million) in contingent earn-out cash consideration tied to specified financial milestones. Docebo also expects 365Talents to generate approximately US$9 million (approximately C$12.4 million) in revenue from closing through December 31, 2026. Docebo intends to maintain the 365Talents brand while progressively integrating the two platforms, with both companies continuing to support customers and the 365Talents leadership team continuing to lead the business.
