Spherea acquires Averna to form global champion in Test & Quality Engineering

Spherea has acquired 100 percent ownership of Averna, following the closing of the transaction on January 8, 2026, formalizing a strategic consolidation first announced on December 3, 2025. Backed by Andera Partners as lead investor, with continued reinvestment from Walter Capital Partners and the management teams of both companies, the combination creates one of the largest independent, global players in Test & Quality Engineering and a leading systems integrator in this field. The Spherea-Averna group brings together more than 1,800 employees across 13 countries in Europe, North America, and Asia, generating annual revenues of over USD 305 million and serving a broad customer base in aerospace and defense, consumer electronics, medical devices, automotive and transportation, data centers, power and energy, rail, and other safety- and mission-critical sectors. The transaction unites Spherea’s long-standing expertise in high-end, mission-critical and modular electronic test systems with Averna’s capabilities in automated test, vision inspection, RF and microwave solutions, precision assembly, and data analytics, enabling end-to-end solutions from concept validation and board-level testing through to complex system integration and lifecycle support. Governance of the combined group is led by Patrice Bélie as Group Chief Executive Officer, while François Rainville remains Chief Executive Officer of Averna and serves as Group Chief Operating Officer, with both brands continuing to operate in their respective markets while leveraging joint commercial and operational synergies.
