On May 15, 2026, Uni Express Inc. ("UniUni"), a Richmond, British Columbia-based last-mile e-commerce delivery platform, and MAK Acquisition Corp., a Toronto Stock Exchange-listed special purpose acquisition company chaired by Matthew Proud, announced that they had entered into a definitive purchase agreement pursuant to which UniUni will become a publicly listed company through a reverse takeover of MAK Acquisition. Under the transaction, UniUni, MAK Acquisition and Finco, a wholly owned subsidiary of MAK Acquisition, will combine into a new public entity, "New UniUni", listed on the Toronto Stock Exchange. The transaction implies an enterprise value for UniUni of approximately US$1.0 billion (approximately C$1.37 billion). The transaction is supported by a concurrent private investment in public equity (PIPE) of up to US$100 million, on which Canaccord Genuity Corp. is acting as lead placement agent and sole bookrunner, in addition to MAK Acquisition's existing approximately US$100 million of trust capital (subject to investor redemptions). Closing is conditioned on, among other things, raising a minimum of US$60 million through the private placement and remaining escrow funds, TSX approval, regulatory approvals, MAK Acquisition shareholder approval at a special meeting, and other customary conditions. The transaction is expected to close in the second half of 2026. UniUni, founded in 2019 as a meal delivery service and subsequently pivoted to e-commerce fulfillment, grew revenue from US$113 million in 2023 to a projected level in excess of US$1 billion in 2026, serving clients including Shein and Temu. Net proceeds will support the build-out of automated "super-sorting" centres intended to scale daily processing capacity from approximately 1 million to as many as 3 million parcels.
