On June 15, 2026, Enstructure announced that it had entered into a definitive agreement to acquire all of the marine terminal operations of LOGISTEC, a multi-purpose terminal operator and logistics service provider headquartered in Montréal, Québec, and majority owned by New York-based private equity firm Blue Wolf Capital Partners LLC. The acquired business includes the LOGISTEC Direct and Gulf Stream Marine brands and provides bulk, breakbulk, container, and roll-on/roll-off cargo-handling services, as well as logistics solutions to marine and industrial customers across Canada and the United States. LOGISTEC operates a network of approximately 62 ports and 84 terminals, and the combined Enstructure–LOGISTEC platform is expected to comprise approximately 106 terminals serving major trade corridors and industrial markets. Following completion, Blue Wolf will remain an investor in the combined business. Blue Wolf will also retain majority ownership of LOGISTEC's former environmental services division, comprising CoreAqua, a provider of trenchless water infrastructure solutions, and Sanexen, an environmental services business; those companies are not part of the transaction. LOGISTEC will maintain its head office in Montréal, where the company has operated for more than 70 years, and the parties stated that workers' jobs will be protected. Blackstone Credit & Insurance, a strategic partner to Enstructure since 2022, together with additional investors including OMERS, is providing financing for the transaction, and Viking Global Investors, an Enstructure investor since 2022, is providing incremental equity capital. Financial terms were not disclosed. Completion remains subject to customary closing conditions, including required regulatory approvals.
