TD Bank closes $1.25B offering of 5.918 percent Limited Recourse Capital Notes, Series 7

On June 11, 2026, The Toronto-Dominion Bank closed its previously announced public offering in Canada of $1.25 billion aggregate principal amount of 5.918 percent Non-Viability Contingent Capital Additional Tier 1 Limited Recourse Capital Notes, Series 7 (subordinated indebtedness). The pricing of the offering had been announced on June 4, 2026. The notes will bear interest at 5.918 percent annually, payable quarterly, for the initial period ending on, but excluding, July 31, 2031. Thereafter, the interest rate on the notes will reset every five years at a rate equal to the prevailing 5-year Government of Canada Yield plus 2.85 percent. The notes mature on July 31, 2086, a 60-year final maturity. With the prior written approval of the Superintendent of Financial Institutions (Canada), TD may redeem the notes during the period from and including July 1 to and including July 31, 2031, and every five years thereafter, in whole or in part, on not less than 10 days' and not more than 60 days' prior notice to noteholders. Concurrently with the issuance of the notes, TD issued 1,250,000 Non-Cumulative 5-Year Fixed Rate Reset NVCC Preferred Shares, Series 34, to be held by Computershare Trust Company of Canada as trustee for the TD LRCN Limited Recourse Trust. In the event of non-payment of interest, principal, redemption price, an event of default, or a Trigger Event, each noteholder's recourse is limited to its proportionate share of the Limited Recourse Trust's assets, which will consist of the Series 34 Preferred Shares (except in limited circumstances). The notes were issued and sold through a syndicate of agents led by TD Securities Inc. as lead agent and sole bookrunner. The notes have not been registered under the U.S. Securities Act of 1933. Net proceeds will be used for general corporate purposes.
