Apotex Health Corp. (TSX: APTX), the largest Canadian-based pharmaceutical company, announced on July 1, 2026 the closing of its previously announced strategic transaction with Cumberland Pharmaceuticals Inc. (Nasdaq: CPIX), a Nashville-based biopharmaceutical company, to integrate Cumberland's U.S. branded businesses into Apotex. The deal was originally announced on April 23, 2026, and closed following approval by Cumberland's shareholders, with over 99% of votes cast in favor. Under the terms of the agreement, Apotex acquired Cumberland's line of branded pharmaceuticals for cash consideration of US$100 million, funded at closing — approximately C$142 million, based on the USD/CAD exchange rate of roughly 1.4205 around the article's publication date. The acquired portfolio includes established brands such as Kristalose, Caldolor, Sancuso, Vibativ, Acetadote, Vaprisol, and Talicia, expanding Apotex's specialty and hospital-focused U.S. presence across acute care, oncology, infectious disease, and gastroenterology. Cumberland retains its rare-disease pipeline, including Phase 2 programs evaluating ifetroban for Duchenne muscular dystrophy, systemic sclerosis, idiopathic pulmonary fibrosis, and cancer metastasis.
