DCM acquires Octacom

DATA Communications Management Corp. (DCM), a Toronto Stock Exchange-listed provider of print and digital marketing communications solutions, acquired Octacom Limited, a privately held Canadian intelligent document processing and digital transformation company, for approximately 54 million dollars on a cash-free, debt-free basis. The transaction was structured with 43.2 million dollars paid in cash and 10.8 million dollars settled through the issuance of 6,428,571 common shares of DCM at a deemed price of 1.68 dollars per share. Following closing, Octacom's selling shareholders hold approximately 10.3 percent of DCM's outstanding shares, subject to an 18-month lock-up period. Founded in 1976, Octacom generated approximately 23 million dollars in revenue for the 12 months ended May 31, 2026, with roughly 10 percent of that derived from its Odiss cloud-based software-as-a-service platform. In connection with the transaction, DCM entered into a fifth amended and restated credit agreement with a Canadian chartered bank, providing up to 160 million dollars in credit facilities, comprising a revolver, a term loan, and an acquisition line. A portion of these funds was used to finance the cash component of the purchase price and to repay outstanding indebtedness with Fiera Private Debt Fund VI. Octacom will continue to operate as a distinct division of DCM, retaining its name, leadership team, and operating footprint, while gaining access to DCM's broader scale and national reach. The acquisition is expected to be accretive to DCM's adjusted EBITDA, adjusted earnings per share, and free cash flow.
