Definium Therapeutics closes approximately US$805 million public offering

Definium Therapeutics, Inc., a British Columbia-incorporated, late-stage clinical biopharmaceutical company developing therapeutics intended to address underlying causes of psychiatric and neurological disorders, closed an underwritten public offering of common shares on June 25, 2026. The offering was first announced on June 22, 2026 at a targeted 500 million dollars, upsized and priced on June 23, 2026 at 700 million dollars for 20,588,236 common shares at 34 dollars per share, and closed at approximately 805 million dollars after the underwriters exercised in full their 30-day option to purchase an additional 3,088,235 common shares. Net proceeds to the company, after underwriting discounts and commissions, were expected to be approximately 758 million dollars. J.P. Morgan, Jefferies, Leerink Partners, and BofA Securities acted as joint lead bookrunners, with Evercore ISI and Stifel serving as additional bookrunners, and Oppenheimer & Co. and LifeSci Capital acting as co-lead managers. The company intends to use net proceeds for research and development of its product candidates, preparation activities for the potential commercialization of its lead candidate DT120 ODT if approved, and general corporate and working capital purposes. The company changed its corporate name from Mind Medicine (MindMed) Inc. to Definium Therapeutics, Inc. on January 9, 2026, and changed its Nasdaq ticker to "DFTX" on January 15, 2026, while remaining incorporated under the laws of the Province of British Columbia.
