NNS Holding (Cyprus) Limited — the investment vehicle of the privately owned NNS Group, founded in 2008 by Egyptian billionaire Nassef Sawiris — is pursuing full control of OCI Global N.V. (Euronext: OCI), a Netherlands-based nitrogen, methanol and chemicals group in which NNS was already the largest shareholder. On 24 June 2026, OCI confirmed it had received NNS's statement of intent to launch a voluntary all-cash public offer for all issued and outstanding ordinary shares at €4.10 cum dividend per share, following a first proposal on 11 May 2026. The offer was designed partly to resolve an impasse over OCI's proposed combination with Orascom Construction PLC. NNS declared €4.10 its final price and confirmed it had sufficient cash on hand to finance the deal; it submitted a draft offer memorandum to the Dutch regulator (AFM) on 29 June 2026. On 1 July 2026, OCI's board (excluding Nassef and Nadia Sawiris) recommended the offer, and the court-appointed independent directors consented to convening an EGM on the Orascom transaction. Through July 2026, NNS steadily bought shares on-market under a recurring "NNS acquires shares in OCI" disclosure series, lifting its holding past 55% (about 55.68% including Nassef Sawiris directly). The offer targets roughly the 41.72% of OCI that the Sawiris side did not already own. The formal acceptance period follows AFM approval of the offer memorandum.
