Belden Inc., supplier of networking, connectivity, and cable products, completed its acquisition of RUCKUS Networks from Vistance Networks for approximately $1.85 billion, closing the transaction on July 1, 2026. The deal was first announced on April 30, 2026, when Belden and Vistance entered into a definitive purchase agreement. RUCKUS provides Wi-Fi, enterprise switching, and AI-driven cloud networking management solutions to customers in education, healthcare, hospitality, and enterprise communications sectors, serving more than 48,000 customers globally. The acquisition establishes Belden as a provider of end-to-end IT/OT networking solutions, adding RUCKUS' enterprise networking portfolio to Belden's existing offerings. The transaction was structured as a purchase of the RUCKUS reporting segment from Vistance. In connection with closing, Belden entered into a term loan credit agreement with a syndicate of lenders. Belden had fully committed debt financing from JPMorgan to support the acquisition. Vistance indicated it plans to distribute a portion of the transaction proceeds to shareholders as a special distribution and will focus remaining capital on its Aurora Networks business. The transaction was approved by both companies' boards of directors. McCarthy Tétrault LLP served as Canadian counsel to Belden on matters including tax, intellectual property, labour and employment, pensions and benefits, and competition/antitrust and foreign investment review.
