Silverco Mining Ltd. completed its acquisition of Nuevo Silver Inc. on May 19, 2026, adding the producing La Negra Mine in Querétaro, Mexico, to Silverco’s portfolio and making Nuevo Silver a wholly owned subsidiary of Silverco. Under the completed transaction, Silverco acquired all issued and outstanding common shares of Nuevo Silver in exchange for 16,802,283 common shares issued to former Nuevo Silver shareholders on a pro rata basis. The definitive-agreement announcement had provided for 16,802,316 Silverco shares, while the closing release and Business Acquisition Report report the final issued amount as 16,802,283 shares. Nuevo Silver held a 100 percent interest in La Negra, an operating silver-lead-zinc-copper mine located approximately 150 kilometres by paved road from Querétaro city. Silverco also assumed Nuevo’s approximately US$11 million of indebtedness associated with La Negra, plus US$12.5 million in milestone payments and US$5 million in contingent payments potentially payable to the former owner of the mine. ALN Abogados reported the transaction value as approximately CAD$168 million. Following closing, former Nuevo Silver shareholders held approximately 31 percent of Silverco’s outstanding shares, while existing Silverco shareholders held approximately 69 percent. Silverco announced plans to increase throughput at La Negra, invest in equipment and maintenance, and undertake a 15,000 to 20,000 metre exploration drill program during 2026.
