Celestica Inc. completed its previously announced public equity offering of common shares on August 7, 2026. The offering consisted of 9,677,419 common shares priced at US$310 per share, with the underwriters exercising in full their option to purchase an additional 1,451,612 common shares. In total, Celestica Inc. sold 11,129,031 common shares for aggregate gross proceeds of approximately US$3.45 billion before underwriting discounts and offering expenses. Using the Bank of Canada exchange rate disclosed in the final prospectus supplement for August 4, 2026, US$1.00 = $1.4068, the gross proceeds were approximately $4.85 billion, consistent with Blake, Cassels & Graydon LLP describing the matter as a $4.8-billion equity offering and the all-time largest public offering of common shares by a Canadian company. Net proceeds were expected to be used for working capital, to support investments in capital expenditures and for other general corporate purposes. BofA Securities and Citigroup acted as joint lead bookrunners; TD Securities, CIBC Capital Markets, J.P. Morgan and RBC Capital Markets acted as joint bookrunners; and BNP Paribas, Credit Agricole CIB, MUFG, Scotiabank, Canaccord Genuity and Stifel acted as co-managers.
