OceanaGold Corporation announced on August 17, 2026 that it entered into a definitive scheme implementation deed to acquire 100 percent of the issued shares of Ausgold Limited by way of an Australian court-approved scheme of arrangement. Ausgold owns the Katanning Gold Project in Western Australia, a development-stage gold project located approximately 275 kilometres southeast of Perth. Under the scheme, Ausgold shareholders will receive 0.03365 common shares of OceanaGold for each Ausgold share held, implying A$1.36 per Ausgold share and a total equity value of approximately A$776 million, or approximately $763 million based on the AUD:CAD exchange rate disclosed by OceanaGold. Ausgold shareholders may elect to receive cash instead, subject to a maximum cash pool of A$194 million, or approximately $191 million using the same exchange rate. Upon completion, Ausgold shareholders are expected to own approximately 6 percent to 8 percent of OceanaGold. The Ausgold board unanimously recommended shareholders vote in favour of the scheme, subject to no superior proposal and the independent expert concluding the transaction is in shareholders’ best interests; Dundee Corporation, which holds approximately 7.7 percent of Ausgold, also confirmed its intention to vote in favour. The transaction remains subject to Ausgold shareholder approval, Australian court approval, Australian Foreign Investment Review Board and Australian competition approvals, and Toronto Stock Exchange approval for the share issuance, with implementation and completion expected in December 2026.
