On August 18, 2026, StrikePoint Gold Inc., a Vancouver-based multi-asset gold exploration company, announced it had entered into a definitive purchase agreement to acquire the Northumberland Gold Project, a past-producing gold deposit in Nevada's Walker Lane, from subsidiaries of Newmont Corporation. Under the agreement, Nu Gold LLC, an indirect wholly owned subsidiary of StrikePoint, will acquire from Newmont USA Limited and Fronteer Development LLC certain claims, fee lands, licenses, permits, and equipment comprising the project. Consideration consists of an upfront cash payment of US$70 million on closing, plus two contingent cash payments of US$25 million each — the first within 120 days after completion of a feasibility study and the second within 120 days after achievement of certain commercial production milestones — for total potential consideration of US$120 million. The transaction is an arm's length transaction and does not require StrikePoint shareholder approval. To fund the upfront payment, StrikePoint arranged a bought-deal private placement led by Canaccord Genuity, initially announced at $140 million and subsequently upsized to $160 million. Northumberland carries an initial mineral resource estimate of 2.86 million gold-equivalent ounces indicated and 1.57 million ounces inferred, and is largely located on private land. The project will become StrikePoint's flagship, 100 percent owned asset. StrikePoint anticipates the transaction will close on or about the end of September 2026.
