On August 1, 2026, Arvia Environmental Systems Inc. and its shareholder completed a series of coordinated transactions that brought Arvia together with Vacterra Hydrovac Inc. and Clearwater Environmental Ltd. under Protect Pharmaceutical Corp. As part of the transactions, PRTT's wholly owned Canadian subsidiary acquired Vacterra and Clearwater from Horizon Enterprises Ltd. and separately acquired Arvia from its shareholder. Vacterra, founded in 2018 and based in Langley, British Columbia, provides hydro-excavation and related underground utility services throughout British Columbia, while Clearwater operates a hydrovac transfer station on the Surrey-Langley border that processes and recycles non-contaminated hydrovac slurry. The combined businesses provide complementary services across the hydrovac excavation, environmental processing, and materials-recovery value chain. The transactions were completed through a cross-border exchangeable share structure under which the Canadian vendors received exchangeable shares of PRTT's Canadian subsidiary, supported by corresponding series of PRTT preferred shares that allow the sellers to defer certain Canadian tax consequences. The combined gross revenue for Vacterra and Clearwater for the fiscal year ended December 31, 2025 exceeded $9.8 million. Following the closing, PRTT transitioned into an environmental infrastructure holding company operating under the Arvia brand, with the Vacterra brand retained for its hydrovac truck operations. PRTT's board also approved a proposed corporate name change to Arvia Environmental Holdings Ltd., subject to Wyoming filing and FINRA approval. Management intends to pursue a roll-up strategy targeting additional acquisitions across British Columbia, Alberta, Washington, and Colorado.
