Altius Minerals increases its ownership interest in Great Bay Renewables to 50 percent in partnership with Northampton Capital Partners

On July 30, 2026, Altius Minerals Corporation completed a tripartite transaction that increased its effective ownership interest in Great Bay Renewables Holdings, LLC and Great Bay Renewables Holdings II, LLC to 50 percent. The transaction, originally announced on July 10, 2026 upon the signing of a share purchase agreement with Northampton Capital Partners and certain funds managed by affiliates of Apollo, involved two concurrent legs. Under the first, the Apollo Funds sold their membership interests in Great Bay Renewables to Northampton for total consideration of approximately US$390 million. Under the second, Northampton sold its minority interest in Altius Renewable Royalties Corp., through which it had indirectly held its interest in Great Bay Renewables, to Altius for approximately US$168 million, funded through existing liquidity. As a result, Altius increased its effective interest in Great Bay Renewables from 29 percent to 50 percent, while Northampton increased its effective interest from 22 percent to 50 percent, and the Apollo Funds exited entirely. Following completion, Great Bay Renewables is held equally by Altius and Northampton and will continue to operate as a joint venture, with Altius reporting its proportionate 50 percent share of revenues and expenses from the third quarter of 2026 onward. In connection with the transaction, Altius amended its credit facility on July 24, 2026, increasing it to $350 million from $225 million. Headquartered in St. John's, Newfoundland and Labrador, Altius is a mineral royalty company managing royalties on mining and renewable energy projects.
