Marquee Brands to take Roots Corporation private

On August 20, 2026, Roots Corporation and Marquee Brands announced an agreement under which Marquee Brands, an affiliate of Neuberger, will acquire Roots through its strategic operating partner in a take-private transaction. Under the terms, shareholders will receive $4.10 in cash per common share, representing a 36 percent premium to the closing price on March 2, 2026, the last trading day before Roots announced its strategic review process. The equity purchase price is approximately $160.7 million. The transaction is to be completed by way of a plan of arrangement under the Canada Business Corporations Act, with the acquisition of all issued and outstanding common shares carried out through JM&A Design and Development Inc., led by Canadian retail experts Joseph Mimran and Frank Rocchetti. JM&A will serve as core operating partner of Roots, which will continue to be operated in Canada, while Marquee Brands focuses on global brand stewardship, expansion, and new category development. Roots' board of directors unanimously recommended the transaction, which followed a comprehensive strategic review publicly announced on March 3, 2026. Searchlight Capital Partners, Kernwood Limited, and all directors and senior officers, representing approximately 69 percent of the total voting interest, agreed to vote in favour. Completion requires approval of two-thirds of votes cast, a majority of the minority, Competition Act clearance, and approval of the Ontario Superior Court of Justice. Established in 1973, Roots is a global lifestyle brand operating more than 100 locations in Canada, two in the United States, and an e-commerce platform, with over 100 partner-operated stores in Asia. A special shareholder meeting is expected in October 2026, with closing targeted for the fourth quarter of 2026.
