On July 31, 2026, Everus Construction Group, Inc. announced that it had entered into a definitive agreement to acquire Epsilon Industries, Inc. for US$295 million in cash, subject to customary adjustments. Epsilon is a designer and manufacturer of complex, modular mechanical and electrical building infrastructure systems, with more than 25 years of experience providing off-site construction solutions across North America, and is recognized for its innovation, proprietary capabilities, and highly refined execution processes. Epsilon offers a full range of services, including design-assist, custom fabrication, and turnkey field installation, supporting project types across attractive end markets including data centres, advanced manufacturing, and healthcare, and it operates modular construction facilities in both the United States and Canada. For calendar year 2026, Epsilon expects to generate revenue of approximately US$250 million with EBITDA in the low double digits as a percentage of revenue. The acquisition will be funded through a combination of cash on hand and borrowings under Everus' credit facilities, and is expected to close in the third quarter of 2026, subject to regulatory approvals and other customary closing conditions. Epsilon president Chris Wiederick and other key members of the leadership team are expected to remain following the acquisition. Everus, headquartered in Bismarck, North Dakota and listed on the New York Stock Exchange, provides electrical and mechanical, and transmission and distribution specialty contracting services across the United States, and the transaction supports its focus on off-site construction and prefabrication.
