CSA Group has agreed to sell its testing, inspection and certification (TIC) business to Netherlands-based Kiwa Group for cash proceeds of approximately $2.1 billion, subject to customary adjustments for cash, indebtedness, working capital and similar matters. The transaction was announced on 28 August 2026 and is expected to close before the end of 2026, subject to member approval and regulatory clearances. CSA Group consists of the Canadian Standards Association, a not-for-profit standards organization, and the TIC business, a large commercial subsidiary led by CSA Group Testing & Certification Inc. The sale allows each to focus on distinct mandates, with proceeds placed in a newly formed, dedicated legal entity wholly owned by, but governed separately from, the Canadian Standards Association to fund its standards mission. Headquartered in Toronto, the TIC business operates 20 specialized laboratories in 12 countries, employs around 2,100 people, and serves approximately 11,000 customers. It holds OSHA-recognized NRTL status in the United States and SCC accreditation in Canada. The transaction requires approval of at least two-thirds of votes cast at a special meeting of Canadian Standards Association members, expected in early October 2026. Current president and chief executive officer David Weinstein will remain with the TIC business, while Mary Cianchetti, president of standards, is expected to become president and chief executive officer of the Canadian Standards Association. Kiwa Group employs more than 12,000 people across 40 countries and is owned by SHV Holdings.
