On September 18, 2026, Apotex Health Corp. announced the closing of a previously announced upsized secondary offering of its common shares by a group of selling shareholders comprising an affiliate of SK Capital Partners, API Investment LP (Sherfam) and Allan Oberman. The offering was first announced on September 14, 2026, as a $750 million bought deal, then upsized on September 15, 2026, to approximately $850 million as a result of strong demand. Under the amended agreement, the underwriters agreed to purchase 25,000,000 common shares from the selling shareholders at a price of $34.00 per common share, for total gross proceeds to the selling shareholders of $850,000,000. Apotex did not receive any proceeds from the offering. The common shares were offered by way of a prospectus supplement dated September 15, 2026, to Apotex's final short-form base shelf prospectus dated August 18, 2026, in all provinces and territories of Canada, and by private placement in the United States and internationally. The syndicate was led by RBC Capital Markets, TD Securities Inc. and Scotiabank as joint lead bookrunners, with BMO Capital Markets and Jefferies Securities, Inc. as joint bookrunners, alongside a broad group of co-managers. Apotex is the largest Canadian-based pharmaceutical company, headquartered in Toronto, and trades on the Toronto Stock Exchange under the symbol APTX. The offering followed Apotex's June 2026 initial public offering.
