Founders Metals consolidates 100 percent of Antino Gold Project and closes Gold Fields strategic investment

On September 17, 2026, Founders Metals Inc. completed the acquisition of the remaining 30 percent of the issued and outstanding shares of Lawa Gold N.V. from Nana Resources N.V., consolidating a 100 percent royalty-free interest in the Antino Gold Project in southeastern Suriname. As consideration, Nana Resources received US$17 million in cash and 13,568,944 common shares of Founders Metals, and is entitled to up to US$21 million in contingent milestone payments tied to mineral resource, permitting, construction and production milestones at the project. Concurrently, Founders closed a C$76,958,864 strategic investment by Gold Fields Netherlands Services B.V., an affiliate of Gold Fields Limited, under which Founders issued 14,146,850 common shares at C$5.44 per share. The investment increased Gold Fields' ownership to approximately 19.9 percent of Founders' issued and outstanding common shares. The two transactions were inter-related, with the Gold Fields investment strengthening the company's treasury and supporting the consolidation. Founders Metals is a Canadian gold exploration company building a district-scale gold camp across a 102,360-hectare contiguous land package in the Guiana Shield, one of the largest uninterrupted packages of prospective greenstone belt geology in the region. The transaction gives Founders full operational control of the Antino district. Nana Resources remains a shareholder of Founders Metals following completion.
