123Dentist, a major Canadian dental support organization (DSO), has reached a definitive agreement to acquire MCA Dental Group Limited, an Ottawa-based DSO operating 27 clinics across Ontario and Québec. The deal will see 123Dentist further extend its reach in Eastern Canada.
MCA Dental Group’s clinics and staff will transition to the 123Dentist brand following the completion of the transaction. The MCA Dental Group corporate identity will be retired, and operations will be integrated under the 123Dentist umbrella. Patients at MCA locations are expected to continue receiving care from their existing dental teams, now supported by 123Dentist’s broader resources and systems.

Dr. Mahmood Khedmatgozar, Chief Executive Officer of MCA Dental Group, said the move will allow patients to “benefit from new resources and innovations that keep dentistry at the centre of lifelong health,” while maintaining continuity of care.
123Dentist, founded by dentists, currently supports more than 5,000 clinicians across over 450 clinics in Canada, serving more than two million patients annually. The company has reported growth through both same-store performance and acquisitions, adding 35 clinics in the past year. According to the company, investments have been made in areas such as patient acquisition, clinical service, operational processes, and partner support.
The acquisition comes amid ongoing consolidation in the Canadian dental sector, as DSOs look to expand their networks and streamline operations. 123Dentist has positioned itself as a significant player in this trend, citing a focus on patient-centred care and operational efficiency.
Advisors on the transaction include KPMG LLP and EY LLP, who acted as accounting and tax advisors to 123Dentist. Legal counsel was provided by Aird & Berlis LLP and De Grandpré Chait LLP. MCA Dental Group was advised by TD Securities as exclusive financial advisor, with Borden Ladner Gervais LLP serving as legal counsel.
