Baker McKenzie has appointed Carole Turcotte as a partner in Toronto, working with its transactional practice.

She contributes significant experience in complex corporate, capital markets and fund related matters. She has tackled securities regulatory matters and the structuring and negotiation of mergers and acquisitions; moreover, she has worked on transactions involving capital raisings, operational agreements, fund formation, offerings, and portfolio investments in Canada and overseas.

Turcotte has guided companies in the natural resources and mining sector through all operations phases. She has assisted with financings, purchase and sale agreements, offtake arrangements, royalty and joint-venture agreements, permitting, transportation agreements, procurement contracts for mining equipment, reclamation agreements, and impact and benefit agreements with First Nations.

“Her deep knowledge of investment transactions and fund work, combined with her bilingual capabilities, will be invaluable as we continue to expand our transactional practice and serve our clients’ evolving needs across Canada,” said Alan Zoccolillo, Americas chair of Baker McKenzie’s transactional practice group, in a statement.

Before making the jump to Baker McKenzie, Turcotte was the legal affairs director at Air Canada subsidiary Trans-Canada Capital, where she advised on the legal aspects of issues involving funds and investment strategies – including the formation, management and distribution of private investment funds in Canada and globally. She also assisted with strategic transactions and general corporate and governance concerns, per LinkedIn.

She was also previously the legal affairs manager at Intact Financial Corporation, where she spearheaded a team handling broker transactions, strategic acquisition files, and venture capital transactions involving large investment funds. From December 2016 to March 2018, she was the senior director of legal affairs at PSP Investments, where she advised on the company’s investments in private equity, natural resources, infrastructure, real estate, and public market asset classes.

Turcotte logged stints at Dentons, where she was a partner focusing on securities, corporate, and commercial law; at Blake, Cassels & Graydon LLP, where she was an attorney; and at Lapointe Rosenstein Marchand Melancon as a partner. She also completed an eight-month secondment to Cliffs Quebec Iron Mining Limited.
